The three main UK markets available to meet individual company requirements for becoming a public company are the Main Market (both Primary and Standard Listings), AIM and NEX Exchange (formerly ISDX).  The transition from a private to a public company is a transformational event in a company’s life cycle but it has significant benefits. It can provide capital to allow a business to grow and achieve its strategic objectives, plus it can provide an exit route for the current owners of the business, as well as enhancing the credibility and profile of the business.

Why haysmacintyre?

In order to achieve a successful Initital Public Offering (IPO), preparation and planning is vital as it involves significant time and resource commitment from the management team.  It is key to involve the advisers at the early stages of considering an IPO, as we can provide you with advice on the preparation required by management for a flotation in order to make it a smoother process.

Working alongside the other advisers we provide the role of the reporting accountant which is one of the key roles of the IPO process.  The reporting accountant will perform financial due diligence on behalf of the directors and the Nominated Adviser (NOMAD), as well as provide certain opinions required as part of the listing process.

We provide advice on preparing for a float and how a business can get itself IPO ready, as well as advise on financial and tax structuring, implementing share option schemes prior to IPO, financial reporting systems and controls and accounting policies.  We are also able to offer ongoing external audit and tax services post IPO.

Post IPO we are also able to assist with acquisitions and reverse acquisitions by providing due diligence services on target companies and reporting accountant services in relation to a new Admission Document or Prospectus.

We have strong relationships across the industry and we are able to introduce you to the various other advisers who are also key in the IPO process eg nominated advisers, lawyers, brokers and financial PRs.

Adopting a partner lead and hands on approach, combined with our experience allows us to gain a real understanding of our clients’ businesses, enabling us to add significant value not just during the IPO process but also post IPO through providing support on how to deal with operating within a public company environment.
